1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Design2Liquid ("we," "us," or "our") governing your access to and use of the Design2Liquid platform, website, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
You represent and warrant that you are at least 18 years of age or have reached the age of majority in your jurisdiction, whichever is greater. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Service Description
Design2Liquid is an AI-powered platform that converts Figma designs into Shopify Liquid section code. The Service analyzes Figma frame data through an automated pipeline and generates corresponding Liquid templates, CSS stylesheets, and preview HTML output.
The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the availability, reliability, accuracy, or completeness of the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, subject to the notification provisions described in Section 17 (Modifications).
The generated code output is intended as a development aid and starting point. It is not a substitute for professional web development, quality assurance, or code review.
3. Account Terms
To access certain features of the Service, you must create an account. When creating an account, you agree to the following:
- One account per person. Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits or other restrictions is prohibited.
- Accurate information. You must provide accurate, current, and complete information during registration and keep your account information up to date.
- Account security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@design2liquid.com if you suspect unauthorized access to your account.
- Authentication methods. The Service supports authentication via email and password or via Figma OAuth. When connecting via Figma OAuth, you authorize us to access your Figma account information in accordance with the scopes you approve during the OAuth flow.
- Account responsibility. You are solely responsible for all content generated through and actions taken with your account, regardless of whether those actions were authorized by you.
4. Subscription Plans
The Service is offered under the following subscription tiers:
- FREE: Limited number of code generations per billing period. Intended for evaluation and light usage. Generated artifacts are retained for 30 days after the last account activity.
- PRO: Increased generation limits with extended data retention (up to 1 year). Access to additional features as they become available.
- ENTERPRISE: Custom generation limits, dedicated support, extended data retention (until account deletion), and tailored onboarding. Terms are governed by a separate enterprise agreement.
Plan features, generation limits, and pricing are subject to change. We will provide at least 30 days' written notice before any material changes to your current plan take effect. Such changes will not apply retroactively to your current billing period.
5. Payment Terms
Note: Payment processing is not yet implemented. The following terms will apply once paid plans become available.
- Billing cycles. Paid subscriptions are billed on a recurring basis (monthly or annually, as selected at the time of purchase). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
- Pricing. All prices are displayed in US Dollars (USD) and are exclusive of applicable taxes unless otherwise stated. You are responsible for any taxes associated with your subscription.
- Refund policy. We offer a 14-day refund window from the date of initial purchase or upgrade. Refund requests may be submitted to support@design2liquid.com. Refunds are not available for partial billing periods or after the 14-day window.
- Failed payments. If a payment fails, we will attempt to process the payment again over a 7-day grace period. During this grace period, your access to paid features will continue. If payment is not successfully processed after the grace period, your account will be downgraded to the FREE plan.
- Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.
6. Intellectual Property
Your Output
You own all rights to the code generated by the Service for your use, including the Liquid templates, CSS stylesheets, and preview HTML ("Generated Output"). We do not claim any ownership interest in your Generated Output. You are free to use, modify, distribute, and commercialize the Generated Output without restriction or attribution.
Our Technology
We retain all rights, title, and interest in and to the Design2Liquid platform, including but not limited to the conversion pipeline, the intermediate representation (IR) schema, AI prompts, algorithms, user interface, documentation, and all related intellectual property (collectively, the "Platform Technology"). Nothing in these Terms grants you any right, title, or interest in the Platform Technology except the limited right to use the Service as described herein.
Non-Exclusivity
The Service may generate similar or identical output for different users who submit similar designs. Your Generated Output is not exclusive, and we make no guarantee that the output produced for you will be unique.
No IP Guarantee
We do not guarantee that the Generated Output is free from third-party intellectual property claims. It is your responsibility to review the Generated Output for potential conflicts with third-party copyrights, patents, trademarks, or other intellectual property rights before use in production.
No Indemnification
We do not provide indemnification for intellectual property claims arising from the use of Generated Output. You use the Generated Output at your own risk. Enterprise customers may negotiate separate indemnification terms as part of a custom agreement.
7. AI-Specific Disclaimers
The Service uses artificial intelligence and machine learning technologies to generate code from design inputs. By using the Service, you acknowledge and agree to the following:
- Human review required. All Generated Output is provided for reference and as a development starting point. It requires human review, testing, and validation before use in any production environment. You should not deploy Generated Output without thorough testing.
- No quality guarantees. We do not guarantee the quality, correctness, completeness, security, or fitness for a particular purpose of any Generated Output. The AI models may produce code that contains errors, inefficiencies, or vulnerabilities.
- No compatibility guarantees. We do not guarantee that the Generated Output will be compatible with any specific Shopify theme, version of Liquid, or third-party plugin. It is your responsibility to test compatibility in your target environment.
- Third-party AI processing. The Service uses OpenAI's API for AI-powered code generation. Your design data is transmitted to OpenAI for processing. OpenAI may retain data for up to 30 days for abuse monitoring purposes, after which it is deleted. OpenAI does not use API data to train its models. We are not responsible for changes in OpenAI's API behavior, policies, or availability.
- One-time inference only. Your design data is processed for the purpose of a single code generation request. It is not stored by or used to train any AI models, either by Design2Liquid or by our third-party AI providers. We do not use Figma file content for AI/LLM model training.
- AI model variability. The same design input may produce different Generated Output at different times due to the inherent variability of AI models. We do not guarantee reproducibility of results.
8. User Content
"User Content" refers to all content you provide to or through the Service, including Figma designs, URLs, design frame data, and any other materials you submit.
- Ownership. You retain full ownership of your User Content. We do not claim any ownership rights over your Figma designs or any other materials you provide.
- Limited license. By using the Service, you grant us a limited, non-exclusive, non-transferable, revocable license to access, process, and transform your User Content solely for the purpose of providing the code generation service. This license terminates when you delete your account or the applicable User Content is removed from our systems in accordance with our data retention policies.
- Your representations. You represent and warrant that you own or have the necessary rights, licenses, and permissions to submit all User Content to the Service, and that doing so does not violate any third party's intellectual property rights, privacy rights, or any applicable law.
- No obligation to store. While we retain User Content in accordance with our data retention policies (as described in our Privacy Policy), we are not obligated to store, maintain, or provide copies of your User Content. You are responsible for maintaining your own backups.
9. Acceptable Use
You agree to use the Service in compliance with all applicable laws and regulations. The following activities are strictly prohibited:
- Malicious designs. Submitting designs that contain or are intended to produce malicious code, including but not limited to cross-site scripting (XSS) payloads, injection attacks, or any code designed to harm users or systems.
- Reverse engineering. Attempting to reverse engineer, decompile, disassemble, or otherwise extract the underlying algorithms, prompts, models, or source code of the Platform Technology.
- Automated scraping. Using bots, scrapers, crawlers, or any automated means to access the Service, extract data, or generate code in bulk without our prior written consent.
- Circumventing limits. Attempting to bypass, circumvent, or manipulate usage limits, rate limits, or other technical restrictions, including by creating multiple accounts.
- Competing service. Using the Generated Output or Platform Technology to build, operate, or resell a substantially similar code generation service that competes with Design2Liquid.
- Misrepresentation. Impersonating any person or entity, or falsely representing your affiliation with any person or entity when using the Service.
- Interfering with the Service. Taking any action that imposes an unreasonable or disproportionately large load on our infrastructure, or that interferes with or disrupts the integrity or performance of the Service.
Violation of these acceptable use terms may result in immediate suspension or termination of your account without notice, at our sole discretion.
10. Third-Party Services
The Service integrates with and relies upon the following third-party services. Your use of the Service is also subject to the terms and policies of these providers:
- Figma. Used for design data access via OAuth authentication. The Service requests the
file_readscope to read your Figma file data for code generation. Your use of Figma is governed by Figma's Terms of Service and the Figma Developer Terms. We comply with the Figma Developer Terms, including restrictions on data usage and API rate limits. You may revoke Design2Liquid's access to your Figma account at any time through your Figma account settings under the "Connected apps" section. - OpenAI. Used for AI-powered code generation. Your design data is transmitted to OpenAI's API for processing. OpenAI's data usage is governed by their Terms of Use and API Data Usage Policies.
- Amazon Web Services (AWS). Used for cloud storage of generated screenshots and media assets. AWS services are governed by the AWS Service Terms.
We are not responsible for the availability, performance, or policies of any third-party service. Outages, changes, or discontinuations of third-party services may affect the functionality of the Service. Design2Liquid is not affiliated with, endorsed by, or sponsored by Figma, OpenAI, or Amazon Web Services.
11. Privacy
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Service, you consent to the collection, processing, and transfer of your information as described in the Privacy Policy. This includes the processing of your Figma design data by third-party AI services for the purpose of code generation. Please review the Privacy Policy carefully before using the Service.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Aggregate liability cap. Our total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service shall not exceed the total amount of fees you paid to us during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any fees, our total aggregate liability shall not exceed fifty US dollars (USD $50.00).
- Exclusion of damages. In no event shall we be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, revenue, business opportunities, or cost of procurement of substitute services, regardless of the cause of action or the theory of liability, even if we have been advised of the possibility of such damages.
- Generated code liability. We shall have no liability for any losses, damages, or claims arising from your use of Generated Output in a production environment, including but not limited to security vulnerabilities, data loss, service interruptions, or financial losses caused by or related to the Generated Output.
- Third-party service liability. We shall have no liability for any losses or damages arising from the acts or omissions of third-party service providers, including Figma, OpenAI, and AWS.
Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Design2Liquid, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Generated Output, including any claims that the Generated Output infringes or misappropriates any third party's intellectual property rights.
- Your violation of these Terms or any applicable law or regulation.
- Your User Content, including any claims that your User Content infringes or misappropriates any third party's intellectual property rights or violates any third party's privacy or publicity rights.
- Any dispute between you and a third party arising from your use of the Service.
- Your use of the Generated Output in a production environment, including any claims for damages, losses, or liability resulting from defects, errors, or security vulnerabilities in the Generated Output.
We reserve the right, at our expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
14. Dispute Resolution
Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve the dispute informally by contacting us at support@design2liquid.com. We will attempt to resolve the dispute in good faith within thirty (30) days of receiving your written notice. This 30-day informal resolution period is a prerequisite to any formal proceedings.
Binding Arbitration
If the dispute cannot be resolved informally within the 30-day period, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be San Francisco, California, United States. The language of the arbitration shall be English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Small Claims Exception
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of that court.
Class Action Waiver
You and Design2Liquid agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, both parties waive the right to a jury trial.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.
For any disputes not subject to binding arbitration, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in San Francisco County, California, and you waive any jurisdictional, venue, or inconvenient forum objections to such courts.
16. Termination
Termination by Us
We may suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the Service, or is otherwise objectionable. In cases of material breach, termination may be immediate and without prior notice.
Termination by You
You may terminate your account at any time by initiating account deletion through the account settings page. Upon requesting deletion, your account will enter a 30-day grace period during which you may cancel the deletion request and restore your account. After the 30-day grace period, all of your data will be permanently and irreversibly deleted from our systems in accordance with our Privacy Policy.
Effect of Termination
Upon termination of your account, your right to access and use the Service will immediately cease. Any Generated Output you have previously downloaded or exported remains yours. We will delete your User Content and account data in accordance with our data retention policies.
Survival
The following sections survive termination of these Terms: Section 6 (Intellectual Property), Section 7 (AI-Specific Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), Section 14 (Dispute Resolution), Section 15 (Governing Law), and any other provisions that by their nature should survive termination.
17. Modifications
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page.
- Material changes. For changes that materially affect your rights or obligations (such as changes to pricing, IP ownership, liability, or dispute resolution), we will provide at least thirty (30) days' advance notice via email to the address associated with your account. You will have the opportunity to review the revised Terms before they take effect.
- Non-material changes. Minor changes (such as typographical corrections, formatting updates, or clarifications that do not alter the substance of these Terms) may take effect immediately upon posting.
- Acceptance. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account before the effective date.
